"Will this sourcing agent lock me out of my own suppliers?" It's a fair question to ask before you sign. A non-circumvention clause is a promise that a buyer won't go around a sourcing agent to deal directly with the factories the agent introduced. This article explains why agents ask for one, the five terms a fair sourcing agent agreement spells out, and how California law looks at restrictions with no clear limit.
Quick look
- A non-circumvention clause protects the agent's work of finding and qualifying factories.
- Written loosely, it can also reach suppliers the buyer knew before the agent showed up.
- A fair agreement defines "introduced," excludes existing suppliers, sets a time limit, and lists what stays confidential.
- Confidentiality has a second layer: whether the agent can say it sources for you.
- In California, a contract is void to the extent it restrains a lawful business, and business-to-business restrictions are judged for reasonableness.
What a Non-Circumvention Clause Does
Finding a factory that can actually make your product takes work: shortlisting, background checks, sample rounds, price negotiation, sometimes a site visit. Once the buyer has the factory's name and contact details, nothing technical stops the buyer from ordering directly next time. A non-circumvention clause is how an agent protects that work.
The clause itself is reasonable. The problem is drafting. A clause that says the buyer may not deal with "any supplier the agent has worked with" can be read to cover factories the buyer found on its own years earlier. If you are about to sign a sourcing agent agreement, the five terms below decide whether the clause protects the agent's work or quietly restricts your existing supply chain.
Five Terms a Fair Sourcing Agent Agreement Spells Out
What counts as "introduced"
The agreement should say that a supplier counts as introduced only when the agent names that factory to you in writing, by email or message. No written notice, no restriction. This gives both sides a record to point to if there is ever a disagreement about who found whom.
Suppliers you already know
List the suppliers you already work with, or have already been in contact with, in a schedule attached to the agreement when you sign. Those suppliers stay outside the non-circumvention clause, and you keep dealing with them directly. If you have done your own supplier verification before wiring a deposit, that record also helps show the relationship existed before the agent.
How long the restriction lasts
The restriction should cover the term of the agreement plus a defined period after it ends. It shouldn't be open-ended. A clause with no end date is the one most likely to cause a dispute, and as the California section below shows, the one hardest to defend.
What the agent keeps confidential
Your costs, product specifications, sales markets, and customers are your information, not the agent's. The agreement should say the agent keeps them confidential, and that a factory sees only what it needs to quote and produce. The same discipline applies to payment details, since supplier payment fraud often starts with information that leaked from the buying side.
Whether the agent can name you
This is the term buyers most often forget. It is covered in the next section.
The Second Layer of Confidentiality: Who Knows You Use an Agent
Most confidentiality clauses protect documents: prices, drawings, specifications. There is a second layer that matters just as much. If a competitor learns which agent sources your products, it learns where to look for your factories and roughly what you pay.
A sourcing agent agreement should therefore say that the agent won't list you as a client, use your name or logo in marketing, or tell anyone it handles your sourcing without your written approval. Agents commonly ask for case-study rights; that can be agreed separately, on terms you control.
How Long Can a Restriction Last? The California View
The time limit matters more than it looks, especially in California.
- The statute. California Business and Professions Code §16600 provides that every contract by which anyone is restrained from engaging in a lawful profession, trade, or business of any kind is to that extent void.
- Restrictions between businesses. In Ixchel Pharma, LLC v. Biogen, Inc. (2020), the California Supreme Court held that contractual restraints on business operations and commercial dealings are judged under a rule of reason, rather than being automatically void.
- Confidentiality used as a restraint. In Brown v. TGS Management Co. (2020), a California Court of Appeal held that confidentiality provisions were void because they were broad enough to bar a former employee from working in his field. That was an employment case, not a dispute between two companies, but it shows a court looking past the label of a clause to what it actually restricts.
Two points are easy to miss. First, the statute says "to that extent void," so it is the restraint that falls, not necessarily the whole agreement. Second, these cases do not set a specific number of years for a sourcing agent's non-circumvention clause. What they show is that a restriction with no end date and no clear scope is harder to defend than one with a defined period and a defined list of suppliers.
Suppliers You Already Know: A Non-Exclusive Option
Sometimes a buyer wants an agent's help with a factory the buyer already knows: to renegotiate price, follow up on quality, or manage orders. That doesn't have to put the factory under the non-circumvention clause. The buyer can appoint the agent to negotiate with that supplier on a non-exclusive basis. The agent gets standing to talk price with the factory, and the buyer keeps the right to contact the factory directly at any time.

Common Questions About Non-Circumvention Clauses
Is a non-circumvention clause the same as a non-compete?
No. A non-compete restricts what business someone can do. A non-circumvention clause restricts going around a specific party to deal directly with contacts that party introduced. In practice the two can overlap, which is why scope and duration matter.
Can I keep buying from suppliers I found before hiring an agent?
Yes, if the agreement says so. List them in a schedule at signing so they stay outside the clause.
How long should the restriction last?
For the agreement term plus a defined period after it ends. The right length depends on the deal; have your attorney review it.
Can a sourcing agent tell others it works for my company?
Only if your agreement allows it. You can require written approval before the agent names you as a client.
Both sides should be able to read the agreement and see exactly where the lines are.
